Terms of Service

The legal agreement governing your use of the CorpMetrix platform and website.

1. Acceptance of Terms

By accessing or using the CorpMetrix website (www.corpmetrix.com) or our survey and analytics platform (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

2. Description of Services

CorpMetrix provides employee engagement surveys, 360° feedback tools, onboarding and exit surveys, pulse surveys, workforce analytics, and related HR technology services to organisations ("Client Organisations"). Access to the platform is granted under a separate subscription or service agreement.

3. Account Registration & Security

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use at security@corpmetrix.com.

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorised access to any part of the Services or related systems.
  • Reverse-engineer, decompile, or disassemble any portion of the Services.
  • Transmit viruses, malware, or any code designed to interfere with the Services.
  • Harvest or collect user data without authorisation.
  • Use the Services to send unsolicited communications.
  • Impersonate any person or entity or misrepresent your affiliation.

5. Intellectual Property

All content, features, and functionality of the Services — including software, text, graphics, logos, and survey frameworks (including the MAGIC® framework) — are the exclusive property of CorpMetrix Ltd or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

6. Client Data & Survey Responses

Client Organisations retain ownership of their organisational data and survey responses. By uploading data to the platform, you grant CorpMetrix a limited licence to process that data solely to provide the Services. Survey response data is processed in accordance with our Privacy Policy.

7. Confidentiality

Both parties agree to maintain the confidentiality of the other party's non-public information disclosed in connection with the Services and not to disclose such information to third parties without prior written consent, except as required by law.

8. Service Availability

We strive to provide reliable Services but do not guarantee uninterrupted availability. We may perform scheduled maintenance and will endeavour to provide advance notice. We are not liable for downtime caused by circumstances beyond our reasonable control.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORPMETRIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES.

11. Indemnification

You agree to indemnify and hold harmless CorpMetrix and its officers, directors, employees, and agents from any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We reserve the right to suspend or terminate your access to the Services at any time for violation of these Terms or for any other legitimate reason, with or without notice. Upon termination, your right to use the Services ceases immediately.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Kingdom of Saudi Arabia, without regard to conflict of law provisions. Any disputes shall be submitted to the exclusive jurisdiction of the competent courts in Riyadh, Saudi Arabia.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Continued use of the Services after such changes constitutes acceptance of the new Terms.
